Partner Program Terms

The referred customer must pay their first month and their second month. Once the referred customer has paid both, the referring partner receives 100% of the referred customer’s first monthly payment as a one-time commission, and 20% of every subsequent monthly payment, every month, for as long as that customer remains an active, paying Omesta subscriber. The 20% recurring commission begins with the customer’s second monthly payment.

If the referred customer does not pay a second month — they cancel, refund, or their payment fails and is not recovered — the first-month commission is never unlocked and is not owed. This condition exists so that commissions are only paid on real, retained customers; in exchange, unlocked commissions are not clawed back for later churn.

Commissions are calculated on the amount the referred customer actually paid to Omesta (net of discounts and coupons; a $0 invoice earns no commission). Commissions accrue only on Omesta subscription payments made directly to Omesta, and only for customers attributed to you under Section 4.

Recurring 20% commissions become payable after a 30-day refund buffer on each underlying invoice. If a referred customer’s payment is refunded or disputed within 60 days, the associated commission is reversed; if a commission was already paid out, we may deduct the amount from your future payouts.

Payouts run monthly on or about the 15th, covering the prior calendar month’s unlocked commissions, and are sent via Stripe to the payout account you connect in the partner portal. Balances under $25 roll forward to the following month. You are responsible for completing Stripe’s onboarding and for any taxes on amounts you receive.

A referral is attributed to you when a new customer signs up after clicking your referral link (first-touch, 90-day attribution window) or applies your partner discount code at checkout. Existing Omesta customers, accounts you control, and self-referrals do not qualify. Where two partners could claim the same customer, the first attribution recorded wins.

Participation requires an approved partner application and an account in good standing. Prohibited: self-referrals or referring entities you control; misleading or unauthorized claims about Omesta; spam or unsolicited bulk outreach in violation of applicable law; bidding on Omesta brand terms in paid search; and any scheme designed to manufacture commissions rather than refer genuine customers. Violations may result in forfeiture of unpaid commissions and removal from the program.

Referral attribution, threshold crossings, and commission amounts are determined from Omesta's systems and its payment processor's records, and those determinations are conclusive absent manifest error. Omesta may withhold payment of commissions reasonably suspected to be fraudulent or in violation of Section 5 pending investigation, and may offset amounts previously overpaid against future payouts. The program is provided "as is"; Omesta's aggregate liability to a partner is limited to the unpaid commissions properly earned under these terms.

We may update these terms or the commission structure prospectively; changes do not reduce commissions already unlocked. Either party may end participation at any time — on termination for convenience, unlocked commissions earned through the termination date are paid on the normal schedule. Partners are independent contractors, not employees or agents of Omesta.
